Code of Conduct

To further the Company’s fundamental principles of honesty, loyalty, fairness and forthrightness, we have established this Code. Our Code strives to deter wrongdoing and promote the following objectives:

• Honest and ethical conduct, including the ethical handling of actual or apparent conflicts of interest between personal and professional relationships;
• Full, fair, accurate, timely, understandable and transparent disclosure in periodic reports and documents required to be filed by the Company;
• Compliance with the applicable exchange, government and self-regulatory organization laws, rules and regulations;
• Prompt internal reporting of Code violations; and
• Accountability for compliance with the Code.
